第一条 江苏省慈善总会(英文名：Jiang Su Charity Federation 缩写：丁SCF)是由热心慈善事业的公民、法人及其他社会组织自愿参加的全省性、非营利性公益社会团体。依法登记注册，具有独立法人资格。

第二条 本会宗旨：遵守国家宪法、法律、法规和有关政策，发扬人道主义精神，弘扬中华民族扶贫济困、乐善好施的传统美德，倡导符合时代特征的社会道德风尚，发动社会各界力量，筹募慈善资金，扶助社会弱势群体，推进国际间、境内外合作，发展我省慈善事业，为实现“两个率先”，构建和谐江苏，促进社会文明进步服务。

第三条 本会业务主管单位和登记管理机关为江苏省民政厅，接受省民政厅的业务指导和监督管理。住所：江苏省南京市颐和路9号。

第1章．使命职能
Chapter I MiSSiOnS and FUnotionS
第四条 本会坚持“慈善为民，服务为本，乐善好施，扶贫济困”的工作方针。主要业务范围是：
Article 4 This Federation adheres tO the working principles Of “doing charity fOr the people，regarding service aS the foundation，striving tO dO philanthropic work and helping the poor and aiding those with extreme difficulties"．The majOr scope Of business is：
(一)筹募善款。负责筹募和管理江苏省慈善资金；接受自然人、法人及其他组织的捐赠；开展各种形式的募捐活动，为弱势群体提供物质扶助和精神抚慰。
(1)TO collect charity fund． TO be responsible fOr the collection and management O士the charity fund in Jiangsu Province； TO accept the donation from natural persons， legal persons and other social organizations； TO carry Out fund-raising activities in different forms and offer
material assistance and spiritual comforts fOr disadvantageous groups．
(二)赈灾救助。协助政府开展救灾赈济工作；接收、分配、调拨国际间、境内外向本会捐赠的赈灾款物；接受政府委托并根据实际需要组织生产、储运、发放救灾物资；抚慰救灾勇士。
(11)TO relieve people in stricken areas and offer assistance and salvage． TO assist the government tO offer disaster relief； tO accept， allocate and transfer money and materials that are donated tO the Federation by international，domestic and foreign organizations；TO accept the gOvernment’s entrustment and organize the production，preservation and transportation，and provision Of disaster—relief materials and equipments according tO actual needs；soothe disaster-relief heroes．
(三)扶贫济困。组织各种社会活动，扶助弱势群体，力所能及地开展扶贫救济、抚恤工作。

(五)公益援助。参加和推动文化、教育、卫生等领域的慈善公益援助活动；组织发展慈善事业者队伍，开展多种形式的慈善公益活动。
(V)TO offer public welfare assistance． TO take part in and promote public service and charity activities in fields Of culture，education and sanitation，etc；TO organize and develop charity teams and offer public service and charity activities in multi-forms．
(六)交流与合作。总结交流经验，展示工作成就；加强同国际间、境内外公益机构的联系与合作，为在我省兴办慈善事业的各类机构和个人服务，帮助他们筹划实施慈善救助项目，向需要救助或捐赠团体和个人意愿救助的地区和困难群体提供慈善援助。

(七)经相关职能部门批准，兴办与宗旨、业务相关的实体和非营利事业单位，筹措慈善资金。
(V11)TO set up entities and non-profit public institutions related tO the tenet and services and tO raise charity fund with approval by relevant functional departments．
(八)组织慈善宣传，普及慈善意识，弘扬慈善文化。开展慈善理论与发展战略研究，探索具有中国特色的慈善事业发展道路。
(VIll)TO organize charity promotion， popularize charity consciousness， and tO carry forward charity culture． TO carry Out research in charity theory and development strategy，and tO find a way Of charity development with Chinese characteristics．
(九)对本会成员的工作进行业务指导，支持促进地方慈善事业的发展；反映各界人士的意见、建议和要求，为政府制定有关方针、政策和法规提供咨询服务。
(1X) TO provide operation direction fOr the work Of members Of the Federation and support and facilitate the development Of local charitable undertakings； TO reflect opinions， suggestions and requirements Of people in all circles and provide consultancy service for government to make out relevant guidelines，policies，laws and regulations．

 第二章 会 员
Chapter I I MeffiberS
第五条 本会会员包括单位会员和个人会员。会员条件：
Article 5 Members Of the Federation include unit members and individual ones．Qualifications Of members are：
(一)拥护本会章程；
(1)TO support the constitution Of the Federation； ?
(二)愿意履行会员义务，自愿申请加入本会；
(11)TO be willing tO fulfill the obligations as members and voluntarily apply tO the Federation；
(三)热心慈善事业，对慈善事业有一定贡献；
(111)TO have zeal fOr charities，and tO have made certain contribution tO charitable undertakings；
在本会创始期间取得创始人或创始会员资格者，为本会永久会员；为本会作出重大贡献的团体(代表)或个人，授予荣誉会员称号。在本会创建期间作出较大贡献，或为本会“创始基金”捐款10万元人民币或等值外币以上的团体(代表和5万元人民币或等值外币以上的个人，分别授予江苏省慈善总会创始会员和个人会员，享受永久会员待遇。

第六条 会员人会程序：
ArtiCIe 6 Procedure Of applying fOr membership：
(一)提交人会申请书；
(1)TO submit application fOr membership；
(二)经常务理事会讨论通过；
(11)TO be approved by the Standing Council through discussion；
(三)由常务理事会授权的机构发给会员证。
(111)TO be given the membership card by organizations authorized by the Standing Council．
第七条 会员享有下列权利：
Article 7 Members will enjOy the following rights：
(一)在本会内的选举权、被选举权和表决权；
(1)The right tO vote，the right tO stand fOr election and voting power within the Federation；
(二)参加本会的活动；
(11)The right tO participate in the activities Of the Federation； ‘
(三)获得本会服务的优先权；
(111)The right 0f priority in obtaining services from the Federation；
(四)对本会工作的批评建议权和监督权；
(1V)The right tO criticize and make suggestions tO the work Of the Federation and the right Of supervision；
(五)入会自愿，退会自由。
(V)The right tO jOin voluntarily and the right Of free withdrawal．
第八条 会员必须履行下列义务：
ArtiCIe 8 Members shall fulfill the following obligations：
(一)执行本会决议；
(1)The obligation Of carrying out the resolutions Of the Federation；
(二)维护本会的合法权益；
(11)The obligation Of safeguarding the lawful rights and interests Of the Federation；
(三)完成本会分配的工作；
(111)The obligation O{fulfilling the work assigned by the Federation；
(四)按规定交纳会费；
(1V)The obligation Of paying the membership fee according tO regulations；
(五)向本会反映情况，提供有关资料。
(V)The obligation Of reporting situation and providing relevant materials tO the Federation．
第九条 会员退会应书面通知本会，并交回会员证；单位会员长期不参加本会活动的，视为自动退会；会员如有违法乱纪行为或严重违反本章程的行为，由理事会或经常务理事会表决通过，予以除名。
Article 9 tn the event Of withdrawal， the member shah give written notice tO the Federation and return the membership card； unit members who have not taken part in the Federation’S activities fOr a long term shah be deemed aS voluntary withdrawal； In the event that the member breaks laws Or violates disciplines， he／she will be expelled from the Federation by the Council Or voted by the Standing Council．

 第三章 组织机构
Chapter Il1 0rganiZatiOnaI Framework
第十条 本会的最高权力机构是会员代表大会。其职权是：
Article 10 Thc highest authority Of the Federation iS the Members’ Congress．n has the following functions and powers：
(一)制定和修改章程；
(1)TO constitute and amend the Constitution；
(二)选举和罢免理事；
(11)TO elect and recall the members O{the Council；
(三)审议理事会工作报告和财务报告；
(111)TO give examination and approval tO the work report and financial report Of the Council；
(四)决定本会终止事宜；
(1V)TO decide matters concerning the termination Of the Federation；
(五)决定其他重大事宜。
(V)TO decide other significant matters．
第十一条 会员代表大会每届五年，因特殊情况需提前或延期召开，须由理事会表决通过，报省民政厅核准。延期换届最长不超过一年。会员代表大会须有三分之二以上的会员代表出席方能召开，其决议须经到会代表半数以上表 决通过方能生效。
Artic，e 11 The Members’ Congress shah be convened every five years． In the event Of putting the meeting ahead Or Off fOr special reasons，should be voted and passed by the Council and submitted tO the provincial Department Of Civil Affairs fOf approval． A postponed term election at expiration O{office terms should be nO more than one year．The Members’Congress shall hold meeting only when over two thirds .Of the members atrend the meeting and its resolution shall come into effect only voted and passed by more than half O{the members．
第十二条 理事会是会员代表大会的执行机构。在会员代表大会闭会期间负责本会日常工作，对会员代表大会负责。理事会的职权是：
Article 12 The COuncil is the executive organ Of the Members’ Congress． When the Members’ Congress is nOt in session， the Council shall take charge Of the daily work Of the Federation and be responsible tO the Members’ Congress． The functions and power Of the COuncilarC：
(一)筹备召开会员代表大会；
(1)TO prepare fOr the holding Of the Members’Congress；
(二)向会员代表大会报告工作和财务状况；
(11)TO report working and financial condition tO the Members’Congress；
(三)选举和罢免常务理事，选举和罢免会长、副会长、秘书长，聘请名誉会长、副会长，授予荣誉会长、副会长称号
(111)TO elect and recall the members Of the Council； TO elect and recall the chairman， the vice chairman and the general secretary；，I：inv计e hOnOrary chairman and vice chairman， and tO award titles O士honorary chairman and vice chairman；
(四)执行会员代表大会的决议；
(1V)TO execute the resolutions Of the Members’ Congress；
(五)决定设立办事机构、分支机构、代表机构和实体机构，决定各机构主要负责人的聘任及副秘书长的任用；
(V)TO determine the establishment Of administrative bodies， branches， representative offices and entity bodies， and determine the
appointment Of chief executive officers Of each department and assignment Of deputy general secretary；
(六)决定其他重大事项。
(V1)TO decide other significant matters．
第十三条 理事会每年召开一次；理事会须有三分之二以上理事出席方能召开，其决议须经到会理事三分之二以
上表决通过方能生效。
Article 13 The COuncil holds meeting every year；the Council shah hold meetings when over two thirds Of the members are present，and its resolutions shall come into effect only when voted and passed by more than two thirds 0f members present．
第十四条 本会设立常务理事会。常务理事会由理事会选举产生，常务理事会人数不超过理事人数的三分之一；对理事会负责。在理事会闭会期间，行使以下职权：
Article 14 The Standing Counc~is set up in the Federationi The Standing Council is elected by the Cotmcil． The members Of the Standing COuncil shall be nO mOre than one third Of members Of the Council； it is responsible tO the Council． When the Council is nOt in session，shall perform the following functions and power：
(一)执行理事会决议；
(1)TO execute the resolutions Of the Council；
(二)制定本会年度工作计划和财务预算方案；
(11)TO make OUt annual working plan and financial budget program fOr the Federation；
(三)审查各项提案和报告；
(111)TO examine every draft resolution and report；
(四)决定会员的吸收或除名；聘请高级顾问、顾问；授予特邀理事、荣誉理事称号；
(V1)TO decide the enrollment and recall Of members； TO invite senior consultants and consultants； TO award titles Of guest Council
members and tO honorary Council members；
(五)决定本会办事机构、分支机构、代表机构和实体机构设置，决定各机构主要负责人的聘任及副秘书长的任用。
(V)TO determine the establishment Of administrative bodies， branches， representative offices and entity bodies Of the Federation， and tO determine the appointment Of principal persons in charge Of each department and assignment Of deputy general secretary；
(六)提出理事、常务理事、秘书长、副会长、会长的人选方案，报请理事会决定；
(V1)TO bring forward scheme fOr persons selected fOr members Of the Councfi， members Of the Standing Council， general secretary， vice chairman and chairman；
(七)筹备召开理事会；
(V11)TO prepare fOr the holding Of the Council；
(八)负责本会终止项目的清算和善后工作；
(VIll)TO be responsible fOr the liquidation Of the Federation’S terminated projects and problems arising afterward；
(九)决定其他重大事项。
(1X)TO decide other significant matters．
第十五条 常务理事会半年召开一次，情况特殊时也可采取通讯形式召开；须有三分之二以上常务理事出席方
能召开，其决议须经到会常务理事三分之二以上表决通过方能生效。
ArtiCle 15 The Standing Council hold meetings semiannually， and meetings can be held i—n the form O{communication On special occasions； the Standing Council shah hold meetings when over two thirds Of the members are present， and itS resolutions shall come into effect only when voted and passed by more than two thirds Of members present．
第十六条 常务理事会闭会期间，重要工作由会长办公会研究决定。会长办公会职权是：
ArtiCle 16 When the Standing Council iS nOt in session，important works will be decided by the Chairman’S Office．The functions and power Of the Chairman’S Office are：
(一)贯彻执行常务理事会决议；
(1)TO carry OUt and execute resolutions Of the Standing Council；
(二)制定本会工作制度，组织实施年度工作计划；
(11)TO work OUt working systems Of the Federation and organize the implementation Of annual working plan；
(三)决定副秘书长、内设机构各部门负责人的任免事宜；
(111)TO determine issues concerning the appointment and removal Of deputy general secretary， persons in charge Of every department in the Federation；
(四)研究提出日常工作中需要集体决定的事项。
(1V)TO study and put forward matters needing cooperative decision in daily work．
第十七条 会长办公会由会长、副会长、秘书长、副秘书长组成。会议由会长或会长委托常务副会长主持。会议应充分发扬民主，广泛听取意见，按本章程规定行使决策。
A厂tjCIe 17 The Chairman’S Office iS composed Of the chairman，the vice chairman，the general secretary and the deputy general secretary． Meetings are presided over by the chairman Or by the vice chairman Of the Standing Council entrusted by the chairman． The
meeting should give full play tO democracy，widely take advices，and make decision according tO regulations Of this Constitution．
第十八条 本会设监事会，由会员代表选举产生，人数不超过常务理事会人数的三分之一且为单数。理事、常务 理事、秘书长以上负责人及财务负责人不得兼任监事。监事会任期与会员代表大会任期相应。
ArtiC[e 18 The Supervisory Committee iS Set Up in the Federation． ?n iS elected by member representatives， and the number Of members iS odd nOt exceeding one third Of the number Of members Of the Standing Council． Chiefs higher than members Of the Council and the Standing Council and general secretary and the financial officers shall not hold a concurrent post aS supervisor．The term Of supervisory committee iS corresponding tO that Of the Members’ Congress．
第十九条 监事会行使以下职权：
Article 19 The Supervisory Committee shall perform the following functions and power：
(一)检查本会财务；
(1)TO check the Federation’S financial affairs；
(二)对常务理事、秘书长以上的负责人执行本会职务时违反法律、法规或者本会章程的行为进行监督：当其行为有损害本会利益时，要求予以纠正。
(11)TO supervise acts Of violating laws， regulations and the Federation’s Constitution by chiefs above members Of the Standing Council and general secretary in the execution Of their duties：to demand remedies from them when such acts are harmful tO the Federation’s interests；
(三)提议召开临时会员代表大会；
(111)TO request the interim meetings be convened；
(四)本会章程规定的其他职权；
(1V)Other functions and powers regulated in this Constitution Of the Federation．
监事列席理事会和常务理事会。
Supervisors shall attend the meeting Of the Council and the Standing Council．
第二十条 本会设荣誉会长、荣誉副会长、荣誉理事若干名，实行聘请制。每届任期五年，会员代表大会提前或延 期举行，任期相应改变，可连聘、连任。捐赠50万人民币或等值外币以上的单位(代表)以及捐赠20万元人民币或等值外币以上的个人，聘请为本会荣誉理事；捐赠200万元人民币或等值外币以上的单位(代表)以及捐赠100万元人民币或等值外币以上的个人，聘请为本会荣誉副会长；捐赠500万元人民币或等值外币以上的单位(代表)以及捐赠200万元人民币或等值外币以上的个人，聘请为本会荣誉会长。
Article 20 A number Of honorary chairmen， honorary vice chairmen and honorary members Of the Council will be set， practicing the inviting system． Each term is five years． In the event that the meeting Of the Members’ Congress iS put ahead Or Off， the term will change respondingly．Consecutive invitation and reappointment iS allowable．Units(Representatives)donating more than RMB five hundred thousand Yuan Or equivalent foreign currencies Or individuals donating more than RMB two hundred thousand Yuan Or equivalent foreign currencies will be invited as honorary members Of the Council；Units(Representatives)donating re than RMB two million Yuan Or equivalent foreign currencies Or individuals donating more than RMB one million Yuan Or equivalent foreign currencies will be invited as honorary vice chairmen Of e Federation；Units(Representatives)donating more than RMB five million Yuan Or equivalent foreign currencies Or individuals donating more than RMB two million Yuan Or uivalent foreign currencies will be invited as honorary chairmen Of the Federation．
第二十一条 会长、副会长、秘书长必须具备下列条件：
Article 21 The chairman，vice chairman and general secretary shall have the following qualifications：
(一)坚持党的路线、方针、政策，政治素质好；
(1)TO adhere tO the Party’S line，guidelines and policies，and possess good political quality；
(二)在本会业务领域内有较大的影响；
(11)TO have relatively great influence in the field Of the Federation’s business；
(三)会长、副会长、秘书长最高任职年龄一般不超过70周岁；
(111)People holding the post O{chairman，vice chairman and general secretary should be less than seventy years Old generally；
(四)身体健康，能坚持正常工作；
(1V)TO be in good health and can preserve in regular work；
(五)未受过剥夺政治权利的刑事处罚。
(V)TO have never received criminal punishment Of deviation Of political rights．
第二十二条 会长、副会长、秘书长如超过最高任职年龄的，须经理事会表决通过，报省民政厅同意。会长、副 会长、秘书长任期五年，连续任期一般不超过两届。因特殊情况需延长任期，由会员代表大会三分之二以上会员通过， 报民政厅同意。
Article 22 Chairmen，vice chairmen and general secretary whose age exceeds the maximum allowable age should be voted and passed
by the Council and approved by the provincial Department Of Civil Affairs． The term Of office Of chairmen， vice chairmen and general secretary iS five years and the consecutive term generally shall not be longer than two．Prolonged term Of office fOr special reasons should be passed by over two thirds Of members Of the Councfi and should be reported tO the provincial Department Of Civil Affairs fOr approval．
第二十三条 会长为法定代表人，行使下列职权：
Article 23 The chairman iS the legal representative，performing the following functions and powers：
(11)TO check the implementation Of resolutions Of the Members’ Congress， the Council， the Standing Council and the Chairman’s Office；
(三)代表本会签署有关重要文件；
(111)TO sign relevant important documents representing the Federation；
(四)决定其他重大事项。
(1V)TO decide other significant matters．
第二十四条 秘书长在会长和常务副会长的领导下工作，主要职责是：
Article 24 The general secretary works under the leadership Of the chairman and vice chairman Of the Council， whose principal functions
and powers are：
(一)主持办事机构日常工作，组织制定和实施年度工作计划；
(1)TO preside over daily works Of administrative bodies and organize the making and implementation Of annual working plan；
(二)协调分支机构、代表机构、实体机构开展工作；
(11)TO coordinate the work implementation Of branches，representative offices and entity bodies；
(三)提名副秘书长以及各机构主要负责人，交常务理事会决定；
(111)TO nominate the vice chairman and principal persons in charge Of every department， and submit tO the Standing Council fOr decision；
(四)理事会、常务理事会、会长办公会的会务工作和重大活动的组织工作；
(1V)TO organize meeting affairs and significant activities Of the Council， the Standing Council and the Chairman’ s Office；
(五)会长和常务副会长交办的其他事务。
(V)Other matters assigned by the chairman and vice chairman Of the Standing Council．

 第四章 资产管理、使用原则
Chapter IV ASSetS Management and Principle Of USe
第二十五条 经费来源：
ArtiCIe 25 Sources Of fund：
(一)会费；
(1)Membership fees；
(二)捐赠；
(Ⅱ)Donation；
(三)政府资助；
(Ⅲ)Government support；
(四)在核准的业务范围内开展活动或服务的收入；
(Ⅳ)Revenue from activities and services in authorized business scope；
(五)利息；
(V)Interest；
(六)其它合法收入。
(V1)Other legal income．
第二十六条 本会工作人员和办公经费来源为创始资金增值部分、会费、政府资助、捐赠款利息、兴办实体的收 入等。按国家有关规定，从捐赠款中提取一定比例作为项目工作经费。
Article 26 Expenses fOr staffs and office works comes from the value increment Of initial fund，membership dues，government support，donation interest， and the income OUt Of entity establishment． According tO relevant state regulations， our Federation may uSe the donation by certain proportion aS the working fund in the projects． ?
第二十七条 本会根据国家的有关法律制定严格的财务管理制度，确保会计资料合法、真实、准确、完整。
Article 27 Our Federation constitutes strict financial management system On the basis Of relevant laws Of our country， and ensures the legality，authenticity，accuracy and completeness Of our accounting data．
第二十八条 本会的资产，任何单位、个人不得侵占、私分和挪用。建立健全审计监察制度，监督项目运作和资产管理、使用的全过程。本会资产管理严格遵守国家规定的财务管理制度，并接受会员代表大会、监事会和财政部门的监督。资产来源属于政府拨款或者社会捐赠、资助的，接受审计机关的监督，并以适当方式向社会及捐赠人公布，提高本会的透明度和公信度。
Article 28 Any Ornanization Or individual is not allowed tO embezzle，privately divide Or misappropriate the assets Of our Federation．We will establish and improve the auditing and supervising system，monitor the project operation and the whole process Of fund management and usage． Our Federation will comply strictly with the financial management system regulated by our country 1n our assets management， and will accept the supervision Of Members' Congress， the Supervisory Committee and the department Of finance． And fOr the fund coming from government allocatiOns Or social donations and subsidizations， our Federation welcomes the supervision Of the auditing office， and will get“publicized tO the society and donators in proper method tO ensure the transparency and reliability Of our Federation．
第二十九条 本会换届或更换法定代表人之前必须依法接受财务审计。
Article 29 Before the election Or change Of our Federation's legal representative，we shah accept financial auditing in accordance with laws．
